SEC ADVISORY

This Advisory is prompted by inquiries received by the Securities and Exchange Commission (“SEC”) from the public regarding WE AL TH ON W E B COMPANY / WEALTH ON WEB COMPANY / WOW COMPANY / WOW TRADE’s (“WOW TRADE”) investment-taking activities.

WOW TRADE offers an investment package where one may invest a minimum amount of Php150.00 to as high as Php135,000.00 and promises a return of as much as 3-6% daily depending on the chosen plan as shown below:


The business purpose of WOW TRADE as stated in its Articles of Partnership is: To engage in the direct selling of goods and merchandises to consumers and is also in the business of retail trading of Apparels, ELoads, Epins, Ecoins, Beverages, Health and Wellness, Cosmetics and Digital Products.

The partners in this business are RAMON VINCENT TALBO GONZALES III and MARILYN TALBO GONZALES. Their principal office is located at Emily Homes Subd Paradise Road Libertad BUTUAN CITY (Capital), AGUSAN DEL NORTE, REGION XIII, Philippines, 8600.

The following persons, namely: (1) GLENDA VERGARA LORENA; (2) KATE WINSLET ENRILE; and (3) ANNA COLLINS have also been promoting WOW TRADE on Facebook.

The scheme of WOW TRADE involves the offering and sale of securities in the form of Investment Contracts to the public because the investors need not exert any effort other than to invest or place monies in WOW TRADE in order to generate income.

Since this scheme involves the sale of securities to the public, the Securities Regulation Code (SRC) requires that these securities are duly registered with the Commission and that the concerned corporation and/or its agents have appropriate registration and/or license to sell such securities to the public pursuant to Sections 8 and 28 of the SRC.

Per record of the Commission, WE AL TH ON W E B COMPANY is registered as a partnership with SEC Registration No. 2021070019320-11 issued on 09 July 2021. However, said Partnership, is NOT authorized to solicit investments from the public as it has not secured prior registration and/or license to solicit investments from the Commission as prescribed under Section 8 of the SRC.

Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code, and such other rules and regulation enforced by the Commission.

Hence, those who act as salesmen, brokers, dealers or agents or claim to act as such of WOW TRADE in selling or convincing people to invest in the investment scheme being offered by said entities including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC.

Also, those who invite or recruit others to join or invest in such venture or offer investment contracts or securities to the public may incur criminal liability, or otherwise be sanctioned or penalized accordingly as held by the Supreme Court in the case of Securities and Exchange Commission vs. Oudine Santos (G.R. No. 195542, 19 March 2014).

Further, the names of all those involved will be reported to the Bureau of Internal Revenue (BIR) so that the appropriate penalties and/or taxes be correspondingly assessed.

In view thereof, the public is advised NOT TO INVEST or STOP INVESTING in any investment scheme being offered by WOW TRADE and exercise caution in dealing with any individuals or group of persons soliciting investments or recruiting investors for and on behalf of WOW TRADE.

EMB 7 creates composite team for water sampling

The Environmental Management Bureau (EMB) 7 of the Department of Environment Natural Resources Central Visayas on Tuesday, Dec. 28, has created a composite team for water sampling in the different parts of the region affected by Typhoon "Odette" (International name: Rai). The EMB 7 deployed two teams conducting ambient water sampling in the Northern Cebu (Liloan area, Consolacion, Mandaue and Mactan Coastal Area) and Southern Cebu (Cebu Port Area, Talisay, Naga and San Fernando). The bureau said the first two samples from Punta Engaño near Movenpick Hotel Mactan Island Cebu and Umapad, Mandaue City near the bridge and Petron) taken last Dec. 23 and 24 were brought to Ostrea Laboratory since the EMB laboratory cannot analyze due to no electricity. Dumaguete crime rate drops

  DUMAGUETE CITY, Negros Oriental, Nov. 10 (PIA) -- The Dumaguete City Police Station has reported that between October 1 to Nov. 7, only 70 crime incidents were recorded, a decrease by 21% compared to 91 incidents in the same period of last year. In a City Peace and Order Council meeting, Lt. Col. Ronoel Fungo disclosed that no homicide, murder, robbery, carnapping, rape and rape with homicide cases were reported in the same period.  The City Health Office also reported that of the total 905 surrenderees or people who use drugs (PWUDs) in 2017, around 334 or 37% have completed their assessment as of Nov. 7, 2023.
